3. Client Responsibilities

Clients must ensure that properties or projects are ready for the scheduled services. This includes granting access, ensuring cleanliness, and providing any necessary information or materials.
For digital services, clients are responsible for providing accurate and complete information required for the execution of the services.
Delays or additional costs arising from the client’s failure to fulfill these responsibilities may result in additional charges.

4. Fees and Payment Terms

All fees for services will be outlined in a formal quote or proposal provided to the client.
A deposit may be required to secure a booking, with the balance payable upon completion of the service.
Payment terms are strictly { number of days } from the date of invoice unless otherwise agreed in writing.
Late payments may incur interest charges and may result in suspension of services.

5. Cancellations and Rescheduling

Cancellations must be made at least { hours } prior to the scheduled service time.

For photography and videography services, edited images and videos will be delivered digitally within 3 business days unless otherwise specified.
For digital marketing and development services, delivery timelines will be outlined in the project proposal.
All deliverables will be provided in standard formats unless otherwise agreed.

7. Intellectual Property

OS Media retains ownership of all intellectual property rights in the materials created, including but not limited to photographs, videos, designs, and code.
Upon full payment, clients are granted a non-exclusive, non-transferable license to use the deliverables for their intended purpose.
Clients may not resell, redistribute, or use the deliverables for purposes outside the scope of the original agreement without prior written consent.

8. Use of Materials for Promotion

OS Media reserves the right to use any materials created for clients, including photographs, videos, and designs, for our own promotional purposes, including but not limited to our website, social media, and marketing materials.
If a client wishes to restrict this usage, they must notify us in writing prior to the commencement of the service.

9. Limitation of Liability

While we strive to provide high-quality services, OS Media shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use our services.
Our total liability for any claim arising out of or relating to our services shall not exceed the total amount paid by the client for the specific service in question.

10. Force Majeure

OS Media shall not be held liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemics, or other unforeseen events.

11. Governing Law

These Terms are governed by the laws of Victoria, Australia.
Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Victoria.

12. Amendments to Terms

OS Media reserves the right to amend these Terms at any time. Changes will be effective immediately upon posting on our website.
It is the client’s responsibility to review the Terms periodically. Continued use of our services constitutes acceptance of any changes.
